This is an English translation provided for convenience. In case of any discrepancy, the Dutch version prevails.
1. Definitions
- Certly: the service offered via gocertly.com (formerly certly.nl), operated by Universal Canvas, registered with the Dutch Chamber of Commerce (KvK) under number 92815111.
- Customer: the person or legal entity that creates an account and uses the service for business purposes.
- Service: the online software with which the customer records expiry dates of documents (certificates, inspections, licences) and receives automatic email reminders.
2. Applicability
These terms apply to every use of Certly and to every agreement between Certly and the customer. Deviations apply only if agreed in writing. Certly is a business service; the customer acts in the course of a profession or business.
3. Account and use
- The customer is responsible for keeping login credentials confidential and for all use that takes place through their account.
- The customer warrants that the data entered (including employee data) has been obtained lawfully and may be processed.
- It is not permitted to use the service for unlawful purposes, to disrupt its operation or to circumvent its security measures.
4. Subscription, trial and payment
- Certly works with a subscription per organisation, in two tiers (Certly and Certly Pro) with a bundle based on the number of tracked holders and an optional subcontractor add-on: from €24.95 per month or €249 per year (excl. VAT); UK accounts are billed in pounds at the equivalent rates on the pricing page (from £21.95 per month or £219 per year). Current prices and bundle limits are on the pricing page, which forms part of these terms. For existing subscriptions, the price and modules that applied at the time of purchase remain in force.
- New accounts get a 14-day trial, without payment details. After the trial, a paid subscription is required to keep using the service.
- Payment runs through our payment provider (Stripe). Subscriptions renew automatically until cancelled.
- You can cancel at any time via the settings; the subscription then runs until the end of the paid period. Amounts already paid are not refunded, unless the law provides otherwise.
- Certly may change its prices. Price changes are announced at least 30 days in advance and apply from the next renewal period.
5. Availability and maintenance
Certly makes every effort to keep the service available as well and as continuously as possible, but does not guarantee uninterrupted availability. Maintenance is carried out outside office hours where possible. Certly may modify the service and add or change functionality, provided the core of the service is preserved.
6. Reminders: an aid, not a guarantee
Certly is an aid for tracking expiry dates. The customer remains responsible for renewing certificates, inspections and licences on time. The accuracy of reminders depends on the data entered by the customer and on email delivery by third parties. Certly is not liable for the consequences of expired documents, missed reminders or incorrectly entered dates.
7. Data and privacy
The customer is the controller for the personal data they enter into Certly; Certly is the processor. How we handle personal data is set out in the privacy policy and on the data protection page. After termination of the account, customer data is deleted within 30 days, subject to statutory retention obligations.
8. Intellectual property
All rights to the software, the brand and the content of Certly rest with Certly. The customer receives a non-exclusive, non-transferable right of use for the duration of the subscription. Data entered by the customer remains the customer's property.
9. Liability
Certly's liability per event is limited to the amount the customer paid to Certly in the twelve months preceding the event. Certly is never liable for indirect damage, such as lost profit, missed contracts, fines or downtime. These limitations do not apply in the case of intent or deliberate recklessness on Certly's part.
10. Changes to these terms
Certly may amend these terms. Material changes are announced by email at least 30 days in advance. If the customer does not agree, they can cancel the subscription before the change takes effect.
11. Governing law
These terms are governed by Dutch law. Disputes are submitted to the competent court in the district where Certly is established.
